Terms and Conditions

By submitting a sales order, you acknowledge and agree that you have read, understood, and accept our terms and conditions. We particularly highlight Clause 1.3 for your attention.
If you are purchasing as a consumer, please specifically note Clauses 12.3 to 12.11 (which detail your rights to terminate the contract) and Clause 14, which covers our liability for any loss or damage you may incur. These clauses are not applicable to our business customers.
Should there be any confusion regarding your status as a consumer or business customer, we advise you to contact us before proceeding with your order.

  1. These Terms
    1.1 These terms and conditions govern the supply of our products to you, the customer.
    1.2 It is important that you read these terms carefully before placing your order. They explain who we are, the conditions of our product supply, contract modifications or terminations, resolution processes for issues, and other critical information. Should you find any errors, please reach out to us.
    1.3 Customers’ rights under these terms may vary depending on whether you are purchasing as a business or a consumer. You are considered a consumer if you are an individual purchasing products primarily for personal use, not related to your trade, business, craft, or profession.
    1.4 For business customers, these terms represent the complete agreement regarding your purchase. You acknowledge that you have not relied on any statement, promise, or representation not included in these terms.
    1.5 We may offer trade accounts to our business customers. Business customers may need to provide evidence of their trading status, such as a VAT number and business invoices, to apply for a Trade Account. We reserve the right to refuse or cancel Trade Accounts at our discretion.

    2.1 We are Eco Cup Solutions Limited, registered in England and Wales, with our main office located at First Floor, Centennial Park, Centennial Avenue, Elstree, Hertfordshire.
    2.2 You can reach us by calling our customer service team, emailing us at orders@envirocups.co.uk, or writing to us at our office address.
    2.3 If we need to contact you, we will do so by phone or in writing, using the contact details you provided in your order.
    2.4 The terms “writing” or “written” in these terms include emails.
  3. Our Contract With You
    3.1 You can place a Sales Order by following the prompts on our website. Each order is an offer to buy products under these terms and conditions.
    3.2 After placing a Sales Order, you’ll receive an email acknowledging receipt. However, this does not mean your order has been accepted. Our acceptance of your order will follow as outlined in clause 3.3.
    3.3 We accept your order when we confirm payment has been processed or, for invoice payments, upon receipt of full payment, at which point a binding contract is formed.
    3.4 We reserve the right to cancel any Order at any time without further notice.
    3.5 If we’re unable to accept your order, we will inform you in writing and not charge you for the product. This could be due to stock availability, unexpected resource limitations, credit issues, pricing errors, or inability to meet delivery specifications.
    3.6 A Sales Order number will be assigned and communicated to you upon order acceptance. Please refer to this number when contacting us about your order.
    3.7 We retain the right to refuse any orders without further notice or reasoning.
    3.8 We offer international shipping, though our website primarily promotes products within the UK. We cannot guarantee compliance with non-UK regulations.
    3.9 International sales are subject to the Incoterms of the International Chamber of Commerce in effect at the time of contract formation, notwithstanding any conflicting terms.
    3.10 Unless agreed otherwise, you are responsible for all costs associated with the collection, carriage, and transport of products.
    3.11 For sea transport, we’re not obliged to issue a notice under section 32(3) of the Sale of Goods Act 1979.
    3.12 You are responsible for arranging product inspection and testing before shipment. We are not liable for defects apparent upon inspection or for damage during transit.
    3.13 By ordering, you confirm the products comply with all applicable local regulations.
  4. Our Products
    4.1 Product images on our website are for illustrative purposes only. We strive to display colors accurately, but can’t guarantee that your device accurately reflects product colors.
    4.2 Product packaging may vary from images shown on our website.
    4.3 Product details, such as drawings and specifications, are provided in good faith but should not be seen as guarantees of accuracy.
    4.4 Product information remains our property. You agree not to use or distribute this information for personal or business purposes without our written consent.
  5. Making Changes
    If you wish to make changes to your ordered product, please contact us. We’ll inform you if the change is possible and discuss any implications for price, timing, or other necessary adjustments.
  6. Our Right to Make Changes
    6.1 We may alter product designs, styles, or availability at any time. We aim to ensure this does not affect orders already placed.
    6.2 Changes to products may occur to comply with legal requirements or to make minor technical adjustments and improvements.
    6.3 Should we modify these terms or the product after your order, you as a consumer have the right to cancel before the changes take effect and receive a refund for any products not yet received.
  7. Delivery
    7.1 Our delivery policy includes free delivery on UK Mainland orders over £99 excluding VAT, with a charge for orders under this amount. Delivery costs for orders outside the UK Mainland will be confirmed after checkout.
    7.2 Deliveries will be made to the address specified in your order, and our couriers are not required to enter premises for safety reasons.
    7.3 Expedited delivery services may be available upon request and at our discretion.
    7.4 For international orders, delivery costs and dates will be confirmed post-purchase. Consumer customers dissatisfied with delivery costs can cancel their orders.
    7.5 We aim to deliver within three business days for orders placed before noon on a business day, excluding bank holidays in the UK.
    7.6 Delivery dates are estimates, and delivery timeliness is not guaranteed.
    7.7 Accurate and complete information is needed from you for us to fulfill your order. Failure to provide necessary details can result in delays or additional charges.
    7.8 Delivery options include collection from our premises, delivery to your premises, or outside your premises due to courier safety policies.
    7.9 Goods may be delivered in installments, with each treated as a separate contract.
    7.10 We are not liable for delivery delays caused by events outside our control. In case of substantial delays, you may cancel the contract.
    7.11 Accepting delayed deliveries waives any claims for delay-related losses.
    7.12 With prior agreement, bulk orders may be collected from our premises within specified hours. You are responsible for collection costs and transportation.
    7.13 If no one is available to accept delivery, a note will be left with instructions for redelivery or collection from a local depot. Re-delivery charges may apply.
    7.14 Unclaimed goods may result in storage and further delivery charges. If we cannot contact you for redelivery or collection, we may cancel the contract.
    7.15 Responsibility for the products transfers to you upon delivery.
    7.16 Damages or delivery discrepancies must be reported within three days. We require a fair opportunity to inspect any reported damages.
    7.17 We reserve the right to refuse delivery to locations deemed unsafe, unlawful, or where access is unsuitable.
    7.18 Over- or under-delivery of custom orders by up to 20% is permissible, with appropriate billing adjustments.
  8. Title And Risk
    8.1 Ownership of goods remains with us until full payment is received. Goods must be stored separately and insured on our behalf until then.
    8.2 We retain an equitable lien on supplied but unpaid products.
    8.3 Legal action to recover payment for goods is reserved for overdue accounts, with all associated recovery costs borne by you.
  9. Specification Compliance
    9.1 Goods prepared according to your specifications must be accurate, fit for intended use, and not infringe on third-party intellectual property rights.
    9.2 We reserve the right to alter product specifications to comply with safety or statutory requirements.
    9.3 We may also make minor modifications without notice.
    9.4 Immediate notification is required for any desired specification changes. We will attempt to accommodate, but cannot guarantee amendments for already in-process products.
  10. Pricing And Payment
    10.1 Product prices exclude VAT unless stated otherwise. VAT and tax rates are applied based on the delivery date.
    10.2 VAT is payable on all orders, including exports, unless exemption documentation is provided.
    10.3 Current tax and duty rates apply at the time of delivery.
    10.4 Payment is required before dispatch. Your card will be charged upon product dispatch.
    10.5 All payments must be made in full without deductions or withholdings except as required by law.
    10.6 Payments should be made in cleared funds by the delivery date unless a credit account has been approved.
    10.7 We endeavor to ensure pricing accuracy, but errors may occur. In such cases, we may cancel the contract and refund or require payment adjustments.
    10.8 Approved credit account payments are due 30 days post-invoice unless otherwise agreed. We reserve the right to modify credit terms or demand immediate payment for overdue accounts.
    10.9 Late payments may result in delivery suspension, cancellation of discounts, and additional charges including interest under the Late Payment of Commercial Debts Act.
    10.10 Consumer late payments may incur interest at 4% above our bank’s base rate.
  11. Warranty
    11.1 We warrant that products will match their description and be free from material defects at the time of delivery.
    11.2 Warranty claims require prompt notification, product examination opportunity, and return to us at our cost. We may repair, replace, or refund defective products.
    11.3 Warranty exclusions apply for post-notice use, failure to follow our instructions, alterations without our consent, and normal wear or misuse.
    11.4 Except for consumer rights under law, we have no liability for warranty failures.
    11.5 Refunds for valid warranty claims will be processed promptly.
    11.6 Warranty terms apply equally to repaired or replaced products.
  12. Contract Termination
    12.1 Consumer rights vary between consumer and business customers.
    For business customers, clause 12.2 specifies no entitlement to cancel or refund once an order is placed, except in warranty cases or at our discretion.
    12.2 Business customers cannot cancel orders once placed, with no entitlement to refunds except under warranty or at our discretion.
    For consumer customers, clauses 12.3 to 12.11 detail cancellation rights and conditions for refunds.
    12.3 Contract termination rights include changes to terms or products, pricing errors, delivery delays, technical suspensions, or legal rights infringements.
    12.4 Consumer customers have a legal right to cancel online product orders within 14 days for a refund, subject to exceptions for sealed or inseparably mixed products.
    12.5 Exercising the right to change your mind requires notification and product return within specified conditions.
    12.6 Consumer customers have 14 days to cancel after receiving the last item in an order.
    12.7 Cancellation can be communicated via phone, email, or post, using the provided contact details. A model cancellation form is available but not mandatory.
    12.8 Returned products must be sent back or collected as arranged, with consumers responsible for return costs unless the product is faulty or misdescribed.
    12.9 Refunds may be adjusted for handling beyond what would be acceptable in a store, with a return fee and restocking charge applied.
    12.10 For any product queries or complaints, please contact us using the specified details.
    12.11 Consumer customers are entitled to products conforming to the contract, with legal rights summarized below.
    12.12 Return costs are covered if the products are faulty, misdescribed, or if the contract is cancelled due to our errors or delays.
    12.13 Direct collection costs will be charged if you are responsible for return expenses.
    12.14 Refunds, including delivery costs, will be processed by the payment method used, subject to deductions for handling or return fees.
    12.15 Refund timing depends on the product return method and evidence of postage.
  13. Our Termination Rights
    For consumer customers, clauses 13.1 and 13.2 apply, detailing our rights to end the contract for breaches, information delays, or delivery refusal, with potential deductions for costs incurred from your contract breach.
    For business customers, clause 13.4 outlines immediate termination rights for breaches, financial instability, business suspension, or failure to pay debts.
  14. Loss Or Damage Liability For Consumer Customers
    14.1 We are liable for foreseeable loss and damage caused by our contract breach or lack of reasonable care and skill, with exclusions for unforeseeable losses.
    14.2 Liability exclusions do not cover unlawful limitations, including death, personal injury, fraud, consumer rights breaches, and defective products under consumer protection laws.
    14.3 Damage to your property during service provision will be repaired, excluding pre-existing conditions.
    14.4 Business loss liability is limited for products supplied for domestic and private use.
  15. Loss Or Damage Liability For Business Customers
    15.1 Liability exclusions cover death, personal injury, fraud, and unlawful exclusions.
    15.2 Implied terms under goods sale and supply acts are excluded.
    15.3 Liability is limited to direct losses, excluding profit loss or indirect consequences, with total liability capped at the contract value.
  16. General Provisions
    16.1 Contract assignment is allowed for us but requires your consent for transfers.
    16.2 Contract benefits are exclusively between you and us, with no third-party enforcement rights.
    16.3 Illegal contract parts do not invalidate the remainder, with separate paragraph operability.
    16.4 Enforcement delays do not waive our contract rights.
    16.5 Written agreement is required for contract variations.
    16.6 No partnership, agency, or third-party benefits are implied by this agreement.
    16.7 We are not liable for contract performance failures due to events outside our control, with suspended obligations during such events. Extended events allow for contract cancellation.
    16.8 Personal information use is governed by our Privacy Policy.
    16.9 Invalid or unenforceable contract provisions will be deemed deleted, with negotiations for replacement provisions reflecting the original intent.
    16.10 Jurisdiction and law applicability differ for consumer and business customers, with English law governing consumer contracts and exclusive English courts jurisdiction for business disputes.
    16.11 Jurisdiction and Governing Law
    (a) For Consumer Customers: These terms are governed by and construed in accordance with the laws of England and Wales. You may bring legal proceedings in respect of the products in the English courts. If you live in Scotland, you can bring legal proceedings in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in either the Northern Irish or the English courts.
    (b) For Business Customers: Any disputes or claims arising out of or in connection with this contract, including disputes relating to its existence, validity, or termination, are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such disputes or claims.
